The terms PowerFX comes with.

1. Who you agree with

These terms cover PowerFX, the motion graphics app for Windows and macOS, the PowerFX templates (wherever you use them, including in PowerScreen), and this website.

If you live in the United States, you agree them with Unidatum Integrated Products LLC. Everywhere else in the world, you agree them with Unidatum Integrated Products Limited, Venture Hub, 136 Capel Street, Dublin D01 T2C9, Ireland. "Unidatum", "we" and "us" mean whichever of the two that is.

By installing or using PowerFX you accept these terms. If you do not, do not use it.

2. PowerFX

PowerFX is a program that runs on your own computer. We do not host your work, run a service you depend on, or hold an account for you.

PowerFX includes open-source components under their own licences, listed in Help ▸ About PowerFX. Those licences continue to apply to those components, and nothing in these terms limits the rights they give you.

3. Your licence

We give you a non-exclusive, non-transferable, revocable licence to install and use PowerFX on computers you own or control, for your own use or your organisation's internal use, including making videos and graphics for any lawful purpose. All rights not expressly granted are reserved.

The same licence covers the PowerFX templates: you may use them, changed or unchanged, in videos and other finished work you make, for yourself or for clients, commercial or not, and publish that work anywhere.

4. What you may not do

Except where an open-source licence named in section 2 allows it, you may not: copy PowerFX except to install it; redistribute, sell, rent or sublicense it; offer it to others as a hosted service; remove its notices; or use its name or icon for anything that is not PowerFX.

You may not redistribute, sell or share the templates themselves, alone or in a collection, changed or unchanged, as templates, presets, projects or stock footage, or use them to make a competing template library.

You must use PowerFX lawfully, including under export control and sanctions laws.

5. Military use

PowerFX may be used for military purposes by armed forces, defence ministries and defence contractors, provided that use does not directly cause the death of persons protected under the Geneva Conventions of 1949 and their Additional Protocols, such as civilians, prisoners of war and medical personnel. A breach of this is material, ends your licence immediately without notice, and leaves you solely responsible for your obligations under export, sanctions and humanitarian law.

Separately, if PowerFX is used, directly or indirectly, to support the State of Israel, including its government, armed forces, agencies and contractors, the licence terminates immediately and the software becomes unlicensed.

6. Your work is yours, and your responsibility

You own what you make with PowerFX and the templates, and we claim no rights in it beyond those in the templates themselves. We never receive it.

That makes you responsible for it. Use only footage, images, music and fonts you have the right to use: other people's work may be protected by copyright, and a person's name or likeness may need their consent where you are. Keep your own copies, since we hold none.

7. Updates and support

We may publish new versions; whether to install them is your choice, and PowerFX does not update itself. We may stop publishing PowerFX at any time; what you have installed keeps working on your computer.

We offer no support commitment, though we welcome reports.

8. App stores

If you got PowerFX from an app store, that store's terms also apply to your download. These terms are between you and Unidatum, not the store, and the store is not responsible for PowerFX or for supporting it.

9. No warranty, and the limit of our liability

PowerFX and this website are provided "as is", without warranties of any kind, express, implied or statutory, including of merchantability, fitness for a particular purpose and non-infringement.

To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential damages, or for lost data, work, profits or business, and our total liability shall not exceed the amount you paid to Unidatum for PowerFX in the twelve months before the claim.

Nothing in these terms limits liability the law does not let us limit, or takes away rights you have as a consumer that cannot be waived.

10. Indemnity

You agree to indemnify, defend and hold harmless Unidatum and its people against claims, losses and costs, including reasonable legal fees, arising from your use of PowerFX, what you make or publish with it, your breach of these terms, or your infringement of anyone else's rights. This does not apply where the law, including EU consumer law, does not allow it.

11. Ending

These terms apply while you use PowerFX. You may stop at any time by uninstalling it. We may end your licence for a breach you have not cured within 30 days of our notice, or at once for a breach of section 4 or 5. When it ends, stop using PowerFX and the templates and delete your copies of them; the finished work you made before then stays yours.

12. Law and disputes

These terms are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction. If you are a consumer in the EU or the UK, you keep the protection of the mandatory law where you live, and may bring proceedings there.

Before starting formal proceedings, we each agree to try to resolve a dispute informally for at least 30 days. After that, either of us may start binding arbitration, and any dispute will be resolved on an individual basis and not in a class or representative action. This paragraph does not apply to users in the EU or the UK.

13. Privacy

How PowerFX and this website handle personal data is set out in the Privacy Policy (powerfx.unidatum.com/privacy).

14. Changes, and the rest

We may change these terms. We will post a material change here at least 30 days before it takes effect. Using PowerFX after the effective date means you accept the change.

If a provision is found invalid, it is changed as little as needed to be valid, and the rest stays in effect. These terms, with the Privacy Policy, are the whole agreement between you and us about PowerFX; a written agreement you have signed with us prevails where it differs.
